Agreements of JCGF
Article 1
This association is formally named as Japan Corporate Governance
Forum.
Article 2
Based on studies on corporate governance structures, JCGF strives
to examineacademically and practicallythe social roles of
the company, help build healthy relationship between company
and public society through its membersf voluntary involvements,
and advance its achievements to the society.
Article 3
The following undertakings are needed for fulfilling the purposes
stipulated on Article 2.
1. Meetings of Research Groups
2. Seminars and Symposiums
3. Meeting Bulletins, annual reports and books
4. Other necessary activities
Article 4
JCGF is made up of those individuals and corporations who agree
to the purposes stipulated on Article 2. The Sponsor Members
of JCGF who are involved in supporting the activities of Article
3 could not attend the General Meeting of Members.
Article 5
JCGF holds the General Meeting of Members once a year, with individual
and corporate members each enjoying one vote.
Article 6
The Board of Directors is set up at JCGF to discuss and decide
various operational problems. Membership of the Board of Directors
is elected and decided at the General Meeting for tenure of
two years.
Article 7
JCGF designs the system of Co-Chairmen of the Board of Directors
to represent both academic and business world and signal their
cooperation. The co-chairmen jointly represent JCGF and call
for meetings of the Board of Directors as well as the General
Meeting of Members at least once a year. The vice chairman and
senior director or other positions are to be set up when necessary.
Article 8
JCGF has its Secretary Office, where Co-General-Secretaries are
established in line with the spirit of Article 7. The Co-General-Secretaries
hold general responsibility for all operational activities,
with Steering Secretary taking charge of the businesses of Article
3, Research Secretary meetings of the research groups and Audit
Secretary the auditing.
Article 9
The annual membership dues are decided as follows.
1. Ten thousand Japanese Yen for
a individual member
2. A hundred thousand Japanese Yen for a corporate member
with two representatives able to be registered.
3. Separately decided for the sponsor members. (see note)
Article 10
Those members who did not pay membership dues for more than two
years are to be considered as leaving JCGF.
Article 11
The Audit Secretary is to report the annual accounting to the
General Meeting of Members and get its recognition.
Article 12
Corrections and changes of this Agreements as well as asset disposals
need to be approved by the General Meeting of Members with interim
discussions of the Board of Directors.
Note: To be raised after the relevant project
is fixed.
